Unless otherwise agreed in writing: – Upon full payment, clients or contracting agencies receive ownership rights to the final, approved deliverables created specifically for their project – Dallas Web Agency retains ownership of any pre-existing tools, frameworks, processes, code libraries, templates, or internal systems used during delivery – Drafts, unused concepts, and internal working files remain the property of Dallas Web Agency
White-Label Engagements
For white-label or subcontracted projects: – Ownership and transfer of rights are governed by the agreement between Dallas Web Agency and the contracting agency – Dallas Web Agency does not claim ownership over the contracting agency’s brand, client data, or proprietary materials
Reuse, resale, or redistribution of deliverables beyond the agreed scope requires written approval.
4. Services & Engagements
Dallas Web Agency provides services directly to clients and also operates as a white-label and subcontractor partner for other agencies.
For white-label or subcontractor engagements: – Dallas Web Agency may perform services on behalf of another agency, brand, or client – End clients may not be aware of Dallas Web Agency’s involvement – Communication, ownership, and responsibilities are governed by the agreement between Dallas Web Agency and the contracting agency
All services are governed by separate written agreements, proposals, or contracts. These Terms of Use do not replace or override project-specific agreements.
5. Payments & Invoices
Payments, pricing, timelines, and refund terms are defined in individual proposals or contracts. Late payments may result in project delays or suspension of services.
6. Confidentiality & Non-Disclosure
Dallas Web Agency understands the confidential nature of client, agency, and white-label relationships.
We agree to: – Keep all non-public business, technical, pricing, and project information confidential – Not disclose confidential information to third parties without permission, except as required to deliver services or by law – Use confidential information solely for the purpose of fulfilling agreed services
This confidentiality obligation applies during the engagement and continues after project completion. Where a separate NDA exists, that agreement will take precedence.

Dallas Web Agency is not liable for: – Any indirect, incidental, or consequential damages – Loss of data, revenue, or business arising from website use or services – Decisions made by clients or agencies based on delivered work
